Terms of Service

Please read these Terms of Service carefully before purchasing or using any service from VelarisConnect, operated by VelarisConnect LLC. By accessing our website or purchasing a service, you agree to be bound by these terms.
1. The Parties
These Terms are between you ("Client" or "you") and VelarisConnect LLC, a limited liability company ("VelarisConnect", "we", "us", or "our").

2. Services
VelarisConnect provides comprehensive business technology solutions including, but not limited to:
- Managed IT services and remote helpdesk support
- IT consulting and technology strategy
- Cloud migration and infrastructure management
- Web design and development
- Cybersecurity assessments and implementation
- Network setup and management
Specific deliverables, timelines, and scope are defined at the time of purchase or in a separate service agreement.
3. Payment Terms
All prices are listed in US Dollars (USD). Payment is processed securely via Stripe.
- Managed IT subscription plans are billed monthly in advance.
- One-time projects (web design, consulting engagements) require a 50% deposit prior to work commencing, with the remainder due upon delivery or as agreed.
- Annual plans, where offered, are billed in advance for the full year.
- All payments are subject to our Refund Policy.
4. Intellectual Property & Ownership
Upon receipt of full payment:
- For web design projects: you receive full ownership of the delivered website files and code.
- For consulting deliverables: reports, strategies, and documentation become your property.
VelarisConnect retains the right to:
- Display completed work in our portfolio and case studies (with your permission)
- Retain copies of work product for our internal records
- Use non-confidential project details as anonymized case studies
We do not claim any ownership of your business data, systems, or intellectual property as a result of providing services.
5. Service Level Agreements (SLA)
Response time SLAs for managed IT services:
- Essential Plan: Business hours support (MonβFri, 9amβ6pm MT); 4-hour response target
- Professional Plan: 24/7 monitoring and support; 2-hour response SLA
- Enterprise Plan: As defined in the individual service agreement
SLA response times are targets, not guarantees. Force majeure events, internet outages, or circumstances beyond our control may affect response times.
6. Client Responsibilities
To receive the full benefit of our services, you agree to:
- Provide accurate and complete information about your IT environment
- Grant reasonable access to systems, devices, and networks required to deliver services
- Maintain current software licenses for any third-party software we manage
- Respond to requests for information, approvals, or feedback in a timely manner
- Notify us of any known security incidents or compliance requirements that affect the services
7. Confidentiality
Both parties agree to keep any confidential information β including business strategies, system configurations, proprietary data, and client/patient information β strictly confidential and not to disclose it to any third party without prior written consent.
We comply with applicable data protection laws in the handling of client data. Clients in regulated industries (healthcare, legal, financial) should inform us of specific compliance requirements at the start of engagement.
8. Limitation of Liability
VelarisConnect's total liability for any claims arising from our services is limited to the total fees paid by you for the specific service giving rise to the claim in the 12 months preceding the claim.
We are not liable for indirect, incidental, or consequential damages including lost profits, lost revenue, data loss, or business disruption β except in cases of gross negligence or willful misconduct.
9. Disclaimer of Warranties
Our services are provided "as is" and "as available." While we strive for excellence, we make no warranties β express or implied β regarding uninterrupted service availability, complete elimination of security threats, or guaranteed outcomes such as specific improvements in business performance.
10. Termination
Either party may terminate a monthly subscription plan with 30 days' written notice. Upon termination, your service continues through the end of the paid billing period.
For project-based engagements, termination terms are defined in the project agreement. Fees for work completed prior to termination are non-refundable.
We reserve the right to terminate services immediately β without refund β if you violate these Terms, engage in abusive or illegal behavior, or fail to pay invoices within 14 days of the due date.
11. Governing Law
These Terms are governed by the laws of the State of New Mexico, United States, without regard to its conflict of law principles. Any disputes shall be resolved in the courts of Bernalillo County, New Mexico.
12. Changes to Terms
We may update these Terms periodically. Continued use of our services after updates constitutes acceptance of the revised Terms. We will notify active clients of material changes via email at least 14 days before they take effect.
